These terms govern your use of Kirality. By creating an account or using the service you agree to them. If you don't agree, don't use the service. We tried to write this in plain English; if you think any clause is confusing or unfair, write to legal@kirality.com.
Summary
- You own your data and your tenant content. We host it; we don't claim it.
- You can cancel any time. We'll keep your data 30 days then permanently delete it.
- You're responsible for what your agents do with the credentials you give them. Don't connect agents to systems you can't afford for them to break.
- The service is provided "as is" — we make no guarantees agents will produce correct results.
- Our liability is capped at what you paid us in the prior 12 months.
1. Your account
- You must be at least 16 to create an account.
- You're responsible for keeping your password and API keys safe. Tell us right away if you suspect compromise.
- You can have multiple users in one tenant; the account owner is responsible for billing.
2. Acceptable use
You may not use Kirality to:
- Send spam, phishing, or content that violates anyone's rights
- Run agents that scrape sites in violation of those sites' terms
- Attempt to extract other tenants' data
- Reverse-engineer the platform to build a competing product
- Resell capacity to third parties without a written agreement (Enterprise tier covers this)
We will suspend accounts that violate this clause. Egregious violations may be reported to law enforcement.
3. Agent autonomy disclaimer
Kirality runs autonomous AI agents on your behalf. These agents make decisions, write content, send messages, and call APIs using credentials you provided. You acknowledge:
- Agent output may be inaccurate, biased, or contradictory. Always review before relying on it.
- Anything an agent does with credentials you supplied (sending email, posting to Slack, hitting your CRM, creating shipping labels) is attributable to you for billing and legal purposes.
- If an agent racks up Anthropic / OpenAI / Stripe / FedEx charges, those are yours. Set budget caps in Settings.
- You can pause an agent or revoke a credential at any time.
4. Payment
- Billing starts at signup. We collect a payment method when you create your account and charge it immediately for the tier and cadence you select — there is no free trial period.
- You're billed monthly or annually depending on your selection, and renew automatically each period until you cancel.
- Annual subscriptions are billed for the full year up front and are non-refundable once the term begins.
- If a charge fails we'll retry; if it keeps failing we'll suspend access until resolved.
- Price changes for existing customers come with at least 30 days notice; you can cancel before the change takes effect.
5. Kirality Network (partnership matchmaking)
If you opt into the Network (Settings → Partnerships), other Kirality tenants can see your profile + listings at the visibility level you choose. Direct conversations are between you and the other party — Kirality doesn't read them. If you close a deal through the Network we may take a referral fee (frozen at deal-close time, currently 5%).
6. Content ownership
- Your content: org tree, agents, skills, pipelines, documents, CRM data, partnership content — all yours. We hold a license only to host and process it for the service.
- Our content: the platform, code, branding, industry templates, marketplace skill catalog — ours. The Apache-style license that ships with our open-source SDK does not apply to the hosted service.
- Marketplace listings you publish: stay yours. Kirality takes a configurable revenue share when listings are paid.
7. Warranties & limitation of liability
The service is provided "as is" without warranty of any kind, express or implied. To the maximum extent permitted by law, our total liability for any claim is capped at the amount you paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages (lost profits, business interruption, lost data) even if we were advised of the possibility.
8. Termination
- You can cancel any time from Settings. Your access continues to the end of the current billing period.
- We can terminate immediately for material breach (acceptable use, non-payment, fraud).
- On termination we keep your data 30 days, then permanently delete. You can request earlier deletion at privacy@kirality.com.
9. Changes to these terms
We may update these terms; material changes get at least 30 days notice via email. Your continued use after the effective date means you accept the new terms.
10. Governing law
These terms are governed by the laws of the State of Delaware, USA. Any disputes that can't be resolved between us go to mandatory arbitration administered by JAMS in Wilmington, DE, individually — no class actions.
